1. ACCEPTANCE OF TERMS

THE COMPANY PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS SECURE FROM HACKING, DATA BREACHES, OR CYBER ATTACKS.

3. LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES WILL THE COMPANY PARTIES BE LIABLE TO YOU FOR ANY LOSS OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, FOR ANY DIRECT, INDIRECT, ECONOMIC, EXEMPLARY, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES) THAT ARE DIRECTLY OR INDIRECTLY RELATED TO:

IN NO EVENT WILL THE COMPANY PARTIES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD) OR THE AMOUNT YOU PAID TO LOCALDADDY.US IN THE PAST SIX (6) MONTHS, WHICHEVER IS LESS.

4. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including, but not limited to, reasonable attorneys' fees and costs) arising out of or in any way connected with any of the following:
(a) your use of or access to the Site;
(b) your breach or alleged breach of these Terms;
(c) your violation of any third-party right, including without limitation, any intellectual property right, publicity, confidentiality, property, or privacy right;
(d) your violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental authorities; or
(e) any misrepresentation made by you.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you will not in any event settle any claim without our prior written consent.

5. PROHIBITED CONDUCT

You are strictly prohibited from utilizing the Site for any unlawful purpose or any activity that violates these Terms. Specifically, you agree NOT to:

6. MANDATORY ARBITRATION AND CLASS ACTION WAIVER

Any and all disputes, claims, or controversies arising out of or relating to these Terms, the breach thereof, or any use of the Site ("Claims") shall be settled by binding arbitration before a single arbitrator, rather than in court.

Class Action Waiver: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate another person's claims with your claims.

All content on localdaddy.us, including text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, is the exclusive property of localdaddy.us or its content suppliers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8. TERMINATION

We reserve the right, in our sole discretion, to terminate, suspend, or restrict your access to all or part of the Site at any time, for any reason (including, without limitation, a breach of these Terms), without prior notice or liability.
